Terms of use.

By installing or using Counterbook you agree to these terms. If you do not agree, do not use the app.

1. What you are getting

Counterbook is a free point of sale, stock, customer and cash app. It is offered to help you run a business. It is not accounting, tax, legal or financial advice.

2. Licence

We give you a personal, non-exclusive, non-transferable licence to install and use Counterbook on devices you own or control, for your own business, at no charge.

You may not:

  • sell, rent or sub-license the app;
  • remove notices of authorship;
  • copy the app and present it as your own;
  • use it to break the law or to harm others;
  • attempt to defeat the app's security to get into data you are not allowed to see.

Open-source components inside the app remain under their own licences.

3. Your data and your responsibilities

  • Your data is yours. It stays on your devices. We do not have it.
  • You are responsible for what you record, for keeping it accurate, and for the laws that apply to your business, including tax, receipts, consumer rights and data protection.
  • You are responsible for backups. Counterbook offers tools for them, but you must use them. See Backup and recovery.
  • You are responsible for your recovery phrase, backup passwords, PINs and devices. We cannot reset, recover or reach them. If you lose them, your data may be permanently unreadable.
  • You are responsible for the people you give access to. Choose roles with care and review the activity log.
  • You must have the right to enter any personal information about customers, staff and suppliers, and handle it as set out in the privacy policy and the law.

4. Starter products and sample data

Starter packs and the demo shop contain sample names and sample prices only. They are not a price list, a recommendation to stock, or a statement that a product is legal or suitable to sell where you are. Check prices, regulations and licensing yourself. This matters most for medicines and other regulated goods. A pharmacy, for example, is responsible for its own licensing, stock, dispensing and records.

5. Reports and calculations

Counterbook totals what you enter. Reports, profit figures, tax amounts and cash counts are only as good as the cost prices, tax settings and entries behind them. Check them before filing returns or making big decisions, and keep your own records as the law requires. Stock starts at zero cost unless you enter real costs.

6. Third-party services

If you connect Google Drive, you use Google's service under Google's terms and with your own Google Cloud project. We are not responsible for Google's service, quotas, changes or charges.

Receipts, shares and exports that you send through other apps are covered by those apps' terms.

6a. Promotions and donations

Counterbook is free. To help pay for it, the More screen shows a small labelled promotion, which you can turn off under More > Support Counterbook, and the app invites donations. A donation is a gift, not a purchase of features, and does not change these terms.

7. No warranty

Counterbook is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or uninterrupted or error-free operation. We try hard to make it dependable, but software has bugs, devices fail, and you should not rely on any single copy of your data.

8. Limit of liability

To the fullest extent the law allows, we are not liable for lost profits, lost data, lost sales, business interruption, or indirect or consequential damage arising from the use or inability to use Counterbook, even if we were told it could happen. Where the law does not allow a limit on liability, ours is limited to the smallest extent it permits. Nothing in these terms limits liability that cannot lawfully be limited.

9. Updates, changes and ending

  • We may release updates, change or remove features, or stop offering the app. We will try to give notice of big changes.
  • You may stop using the app at any time. Your data stays on your device until you delete it.
  • If you breach these terms, your licence ends. Sections that by nature should survive, such as 7 and 8, continue.

10. Support

Support is offered on a best-effort basis through the support page linked in the app. We do not promise response times.

11. Governing law

These terms are governed by the laws of Nigeria, and the courts there decide disputes, subject to any consumer rights you have that cannot be waived.
